Last Updated: 2 September 2026
These Terms and Conditions (“Terms”) govern your access to and use of the website adawk.com (the “Website”) and any services, deliverables, proposals, or communications provided by Adawk LLC (“Adawk,” “we,” “us,” or “our”).
By using our Website, submitting an enquiry or form, accepting a proposal, or engaging us for services, you agree to be bound by these Terms. If you do not agree, please do not use our Website or engage our services.
Our Privacy Policy forms part of these Terms and explains how we handle personal information.
1. Who We Are

Primary place of business (United States): Adawk LLC, 32 N Gould St, Sheridan, WY 82801, United States
Full contact details for all our offices are listed in Section 22 — Contact Us.
2. Definitions
- “Client” means the individual, business, or organisation that engages Adawk for Services.
- “Services” means the digital marketing, advertising, design, development, consulting, and related work we agree to provide.
- “Deliverables” means the materials, files, designs, copy, code, reports, campaigns, or other work products we produce for the Client.
- “Proposal” means any quote, statement of work, scope document, estimate, or written engagement summary we issue.
- “Client Materials” means any content, data, logos, trademarks, images, copy, credentials, or other materials the Client supplies to us.
- “Third-Party Platforms” means external services used in delivering the Services, including advertising networks, hosting providers, analytics tools, CRM systems, payment processors, and social media platforms.
- “you” means the Website visitor, enquirer, or Client, as the context requires.
3. Use of Our Website
You may use the Website for lawful purposes only. You agree not to:
- Use the Website in any way that breaches applicable laws or regulations
- Attempt to gain unauthorised access to the Website, its servers, or any connected systems
- Introduce viruses, malware, or any other harmful code
- Scrape, harvest, or systematically extract data from the Website without our written permission
- Use the Website to transmit unsolicited advertising, spam, or fraudulent material
- Reproduce, duplicate, resell, or exploit any part of the Website for commercial purposes without our written permission
- Misrepresent your identity or affiliation when submitting enquiries or forms
We may suspend, restrict, or withdraw access to the Website at any time, without notice, where we reasonably believe these Terms have been breached.
The Website is provided on an “as available” basis. We do not guarantee uninterrupted or error-free availability and may modify, suspend, or discontinue any part of it without notice.
4. Enquiries, Proposals, and Formation of Contract
- Information on the Website — including service descriptions, indicative pricing, case studies, and packages — is for general information and does not constitute a binding offer.
- Submitting an enquiry or form does not create a contract or oblige us to provide Services.
- A contract is formed only when we issue a Proposal and you accept it in writing (including by email, e-signature, or written confirmation), or when you pay a deposit or invoice against that Proposal.
- Proposals are valid for 30 days from the date of issue unless stated otherwise, and are based on the information available to us at the time.
- Where a Proposal or signed statement of work conflicts with these Terms, the Proposal takes precedence for that engagement only, and only in respect of the conflicting clause.
5. Scope of Services and Changes
- We will provide the Services with reasonable skill and care, in accordance with the scope set out in the accepted Proposal.
- Anything not expressly included in the Proposal is out of scope. This includes additional revision rounds, new deliverables, expanded channels or markets, migrations, and ongoing maintenance unless specified.
- Requests outside the agreed scope (“change requests”) will be quoted separately and require written approval before work begins. Change requests may affect timelines and fees.
- Revision rounds, where included, are as specified in the Proposal. Additional revisions are chargeable at our then-current rates.
- We may make minor adjustments to methods, tools, or approach where this does not materially reduce the value of the Deliverables.
6. Client Responsibilities
To enable us to deliver the Services, you agree to:
- Provide accurate, complete, and timely information, briefs, feedback, approvals, and Client Materials.
- Provide access to any accounts, platforms, hosting environments, or systems required, and maintain your own ownership of those accounts where applicable.
- Nominate a single point of contact with authority to approve work and sign off deliverables.
- Respond to requests for approval or information within a reasonable time. Delays on your side may extend timelines and, where they cause us to hold resources, may incur additional charges.
- Ensure you hold all necessary rights, licences, and consents for Client Materials, and that they do not infringe any third-party rights or breach any law.
- Comply with the terms, policies, and advertising rules of any Third-Party Platform used in delivering the Services.
- Maintain your own backups of any data or materials you provide to us.
We are not liable for delays, additional costs, or reduced results arising from your failure to meet these responsibilities.
7. Fees, Invoicing, and Payment
- Fees, payment schedules, and currency are set out in the Proposal. Unless stated otherwise, fees exclude taxes, duties, third-party costs, and advertising spend.
- Deposits. Project work typically requires an upfront deposit before commencement. Deposits are non-refundable once work has begun, except as required by law.
- Retainers and subscriptions. Recurring engagements are invoiced in advance for each period and continue until cancelled in accordance with Section 12. Unused hours or allocations do not roll over unless expressly agreed in writing.
- Payment terms. Invoices are payable within 14 days of the invoice date unless the Proposal states otherwise.
- Taxes. You are responsible for all applicable sales tax, VAT, withholding tax, and similar charges. Where withholding applies, invoiced amounts must be grossed up so that we receive the full sum invoiced.
- Third-party costs. Stock assets, fonts, plugins, licences, software subscriptions, hosting, domains, and similar costs are your responsibility unless expressly included in the Proposal.
- Disputed invoices. Any dispute must be raised in writing within 7 days of the invoice date, specifying the disputed items. Undisputed portions remain payable.
- Fee changes. We may revise rates for ongoing engagements on 30 days’ written notice, effective from the next billing period.
- Payments are processed by third-party payment processors. We do not store full payment card numbers on our systems.
8. Advertising Spend and Media Budgets
- Advertising spend (media budget) is separate from our fees and is not included in our service charges unless expressly stated.
- Wherever practicable, advertising accounts should be owned by you and funded with your own payment method. Where we advance or manage spend on your behalf, it must be pre-funded or reimbursed, and we may apply a management fee as set out in the Proposal.
- You are responsible for the content and legality of your advertising, including claims, offers, targeting, landing pages, and required disclosures.
- Third-Party Platforms control ad approval, delivery, pricing, account standing, and policy enforcement. We are not responsible for account suspensions, disapprovals, algorithm or policy changes, price increases, or delivery fluctuations imposed by those platforms.
- Platform charges are non-refundable by us. Any refund or credit is at the sole discretion of the platform.
9. No Guarantee of Results
Digital marketing, advertising, SEO, and design outcomes depend on many factors outside our control, including market conditions, competition, your pricing and offering, your sales process, platform algorithms, and third-party policy changes.
We do not guarantee any specific result, including rankings, traffic volumes, impressions, leads, conversions, sales, revenue, return on ad spend, or follower growth. Any forecasts, projections, benchmarks, or examples we provide are illustrative estimates only and are not commitments or warranties. Past performance for other clients is not a prediction of your results.
10. Intellectual Property
10.1 Our Rights
The Website and all its content — including text, graphics, logos, layout, code, and the Adawk name and branding — are owned by us or our licensors and protected by intellectual property laws. Nothing in these Terms transfers ownership of our IP to you.
We retain ownership of our pre-existing materials, tools, frameworks, templates, methodologies, source files, know-how, and any general skills or knowledge developed while providing the Services.
10.2 Deliverables
- Upon full payment of all sums due, we assign or licence to you the rights necessary to use the final Deliverables for the purposes set out in the Proposal.
- Until full payment is received, all Deliverables remain our property and any use of them is unlicensed.
- Unless expressly agreed in writing, working files, source files, editable design files, and development repositories are not included in the Deliverables and may be supplied separately for an additional fee.
- Concepts, drafts, and rejected options remain our property and may be reused.
10.3 Client Materials
You retain ownership of Client Materials. You grant us a non-exclusive, royalty-free licence to use, reproduce, modify, and display them for the sole purpose of delivering the Services, for the duration of the engagement and any agreed portfolio use.
10.4 Third-Party Assets
Deliverables may include third-party assets (stock imagery, fonts, plugins, libraries, templates) licensed under their own terms. Your use must comply with those licences, and ongoing licence fees are your responsibility.
10.5 Portfolio and Credit
Unless you tell us otherwise in writing, we may reference your name, logo, and non-confidential Deliverables in our portfolio, case studies, website, and marketing materials. We will not disclose confidential information, performance data, or commercially sensitive figures without your consent.
11. Confidentiality
Each party agrees to keep the other’s confidential information secure and not to disclose it to any third party except to employees, contractors, and professional advisers who need it and who are bound by equivalent obligations, or where disclosure is required by law.
This obligation does not apply to information that is public through no breach of these Terms, independently developed, or lawfully received from a third party. Confidentiality obligations continue for 3 years after the engagement ends, and indefinitely for trade secrets.
12. Term, Cancellation, and Termination
- Project work. The engagement runs until the agreed Deliverables are completed and accepted.
- Retainers and ongoing services. These continue on a rolling basis until cancelled by either party with 30 days’ written notice, effective at the end of the current billing period.
- Cancellation by you. If you cancel a project after work has commenced, you remain liable for all work completed and costs committed up to the cancellation date, plus any non-recoverable third-party costs. Deposits are non-refundable.
- Termination for cause. Either party may terminate immediately on written notice if the other materially breaches these Terms and fails to remedy the breach within 14 days of notice, becomes insolvent, or ceases to trade.
- Termination by us. We may terminate or suspend Services immediately where you fail to pay, provide unlawful or infringing materials, breach a Third-Party Platform’s terms, or engage in abusive, threatening, or discriminatory conduct toward our staff.
- On termination: all outstanding invoices become immediately payable; licences granted to unpaid Deliverables terminate; we will, on request and once accounts are settled, provide a reasonable handover of materials you own. Handover work beyond a reasonable level may be chargeable.
- Clauses that by their nature should survive termination — including those on payment, intellectual property, confidentiality, disclaimers, liability, and indemnity — continue in force.
13. Client Approval and Acceptance
- Deliverables submitted for review are deemed accepted if you do not provide written feedback within 7 days of submission.
- You are responsible for final proofing and approval of all content, including copy, spelling, pricing, contact details, legal disclosures, and claims. Once you approve a Deliverable, we are not liable for errors it contains, and correcting or reprinting approved work is chargeable.
14. Third-Party Platforms and Services
The Services may rely on Third-Party Platforms operating under their own terms and privacy policies. We do not control them and are not responsible for their availability, performance, pricing, policy changes, data handling, account decisions, or discontinuation. Where a Third-Party Platform’s terms require it, you may need to enter into a direct agreement with that provider.
Where we manage advertising accounts, websites, or CRM systems on behalf of a client, we process data under that client’s instructions and their privacy policy governs how that data is used.
15. Data Protection
Our collection and use of personal information is described in our Privacy Policy.
Where we process personal data on your behalf as part of the Services, we act as a data processor and you act as the data controller. In that case:
- You warrant that you have a lawful basis for the processing and have provided all required notices and obtained all required consents.
- We will process personal data only in accordance with your documented instructions, apply appropriate technical and organisational security measures, and assist you with data subject requests and breach notifications to a reasonable extent.
- Where required by UK GDPR, EU GDPR, or comparable law, the parties will enter into a separate data processing agreement, which will prevail over this Section in the event of conflict.
- Adawk operates in the United States, the United Kingdom, and Pakistan, and personal data may be transferred to and processed in those countries subject to appropriate safeguards as described in the Privacy Policy.
16. Communications and Text Messaging (SMS)
- By engaging us or submitting your details, you agree that we may contact you by email, phone, and messaging platforms in connection with your enquiry or the Services.
- Where you provide a mobile number and consent, we may send SMS messages including appointment reminders, project and order updates, account and billing notices, customer support replies, and — where you have specifically opted in — promotional offers.
- Consent to receive marketing text messages is not a condition of purchasing any goods or services from us.
- Message frequency varies. Message and data rates may apply and are charged by your mobile carrier, not by Adawk. Mobile carriers are not liable for delayed or undelivered messages.
- You may opt out at any time by replying STOP to any message, and may reply HELP for customer care contact information. Opting out of marketing does not stop necessary transactional messages relating to Services you have purchased or requested.
- Full details of our SMS program, including our commitment that mobile opt-in and consent data is never shared with third parties for marketing purposes, are set out in the Privacy Policy.
17. Disclaimers
The Website and its content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability, to the fullest extent permitted by law.
Nothing on the Website constitutes legal, financial, tax, or professional advice. You should obtain independent advice before acting on any information we publish.
We do not warrant that Deliverables will be error-free, uninterrupted, compatible with all systems and browsers, or free from third-party interference, or that any particular commercial outcome will be achieved.
18. Limitation of Liability
- Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
- Subject to clause 18.1, we are not liable for: loss of profits, revenue, sales, business, goodwill, or anticipated savings; loss or corruption of data; business interruption; loss of advertising spend or platform credits; third-party platform decisions including account suspension or ad disapproval; or any indirect, incidental, special, punitive, or consequential loss, however arising.
- Subject to clause 18.1, our total aggregate liability arising out of or in connection with these Terms and the Services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the total fees paid by you to us for the Services in the 6 months immediately preceding the event giving rise to the claim, excluding advertising spend and third-party costs.
- Any claim must be brought within 12 months of the date you became aware, or should reasonably have become aware, of the circumstances giving rise to it.
- These limitations apply even if we have been advised of the possibility of such loss.
19. Indemnity
You agree to indemnify and hold harmless Adawk LLC, its members, officers, employees, and contractors from and against any claims, damages, losses, liabilities, and reasonable costs (including legal fees) arising from:
- Client Materials, including any claim that they infringe third-party intellectual property or other rights
- Content, claims, offers, or disclosures you approved or instructed us to publish
- Your breach of these Terms, of applicable law, or of any Third-Party Platform’s terms
- Your products, services, or business operations
- Your failure to obtain necessary consents or provide required privacy notices in respect of personal data you provide to us
20. General
- Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, civil unrest, pandemics, government action, strikes, and failures of power, internet, telecommunications, or Third-Party Platforms. Payment obligations are not excused by force majeure.
- Subcontracting. We may use employees, contractors, and subcontractors to deliver the Services and remain responsible for their work.
- Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
- Non-solicitation. During the engagement and for 12 months afterwards, you agree not to solicit or directly engage our employees or contractors who worked on your account without our written consent.
- No exclusivity. We may provide services to other clients, including those in your industry, subject to our confidentiality obligations.
- Independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties.
- Notices. Notices must be in writing and sent to hello@adawk.com (for us) or to the email address on file (for you). Notices are deemed received on the next business day after sending.
- Severability. If any provision is found unenforceable, the remaining provisions continue in full force and the unenforceable provision will be modified to the minimum extent necessary.
- Waiver. Failure to enforce any provision is not a waiver of our right to enforce it later.
- Entire agreement. These Terms, together with the accepted Proposal and the Privacy Policy, form the entire agreement between the parties and supersede all prior discussions, representations, and understandings.
- No third-party rights. These Terms do not confer rights on any person who is not a party to them.
- Language. These Terms are drafted in English, and English is the governing language of the agreement.
21. Governing Law and Disputes
- These Terms and any dispute arising out of them are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.
- The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming, United States.
- Consumer rights. If you are a consumer resident in the United Kingdom or the European Economic Area, nothing in this Section deprives you of the protection of the mandatory consumer laws of your country of residence, or of your right to bring proceedings in your local courts.
- Good faith resolution. Before commencing proceedings, the parties agree to attempt in good faith to resolve any dispute through discussion for a period of 30 days following written notice of the dispute.
22. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, technology, or legal requirements. The “Last Updated” date at the top of this page shows when they were last revised. Material changes will be highlighted on our website, and continued use of the Website or Services after changes take effect constitutes acceptance. For active engagements, the Terms in force at the date the Proposal was accepted continue to apply for that engagement unless we agree otherwise in writing.
